Legal Disclaimer & Liability Limitation (Global Compliant)

1. Third-Party Risk Liability Exemption

1.1 Non-Liability for Third-Party Objective Risks
Guoruitech shall not be held liable for losses, delays, penalties or disputes arising from third-party logistics carrier operations, official platform rule adjustments, bank payment mechanism restrictions, and local government policy updates that are beyond the reasonable control of Guoruitech.

2. Force Majeure Legal Exemption

2.1 Non-Performance Exemption for Uncontrollable Events
Guoruitech is exempt from contractual liability for delayed performance or partial non-performance caused by objective force majeure events, including natural disasters, regional conflicts, epidemic control, port closure, official mandatory inspection and other universally recognized uncontrollable circumstances.

3. Indirect Loss Liability Limitation

3.1 Exclusion of Indirect Economic Losses
Guoruitech shall not be responsible for the buyer’s indirect economic losses and derivative losses arising from order transactions, including but not limited to lost profits, business suspension losses, third-party penalty fees and reputational losses, except for losses caused by Guoruitech’s intentional misconduct or gross negligence.

4. Dispute Handling & Result Validity

4.1 Fairness & Finality of Verified Results
All after-sales verification, compensation evaluation and handling solutions issued by Guoruitech are based on objective evidence and fair trade principles, which are final and binding for non-malicious disputes. Buyers shall not repeatedly initiate disputes, chargebacks or malicious claims for the same case to obtain improper benefits.

5. Governing Law & Jurisdiction 

5.1 Applicable Law & Dispute Resolution Mechanism
These terms and all cross-border transactions shall be governed by the laws of the People’s Republic of China, conforming to international fair trade principles. All disputes shall be resolved preferentially through friendly negotiation between both parties. If negotiation fails, disputes shall be submitted to the competent people’s court of Guoruitech’s registered location for settlement. This clause does not violate the mandatory legal provisions of international cross-border trade.

6. Clause Revision & Interpretation Rule

6.1 Update Right & Priority of Interpretation
Guoruitech reserves the right to reasonably revise and optimize these service and legal clauses in accordance with trade development and legal updates. The latest published version shall prevail. All revisions adhere to the principle of fairness and shall not unreasonably impair the legitimate rights and interests of both transaction parties.
